These Terms of Service (the "Terms") set forth the conditions for providing the Service and the rights and obligations between the Service provider (the "Provider") and Users. By using the Service, you must read and agree to these Terms in full.
Article 1 (Applicability)
The Terms are intended to define the conditions for providing the Service and the rights and obligations between the Provider and Users regarding use of the Service, and apply to all relationships between Users and the Provider concerning use of the Service.
Any rules regarding use of the Service posted by the Provider on the Provider's services form part of these Terms.
If the Terms conflict with explanations of the Service outside these Terms, the Terms shall prevail.
Article 2 (Definitions)
The following terms used in these Terms have the meanings set forth below.
"Service Use Agreement" means the agreement for use of the Service concluded between the Provider and a User under these Terms.
"Intellectual Property Rights" means copyrights, patent rights, utility model rights, design rights, trademark rights, and any other intellectual property rights (including the rights to obtain or apply to register such rights).
"Posted Data" means content that Users post or transmit through the Service (including but not limited to text, images, videos, or other data).
"User" means all persons who use the Service under these Terms.
"Free Plan User" means a User who is not subscribed to any paid plan (a "Paid Plan") including subscriptions.
"Premium Plan User" means a User subscribed to a Paid Plan including subscriptions.
"Service" means the service provided by the Provider under the name "Lingualog" (including any services after changes to name or content for any reason).
"App" means the mobile application through which the Service can be used.
Article 3 (Registration)
Any person wishing to use the Service (the "Applicant") may start using the Service by agreeing to comply with these Terms and providing certain information determined by the Provider (the "Registration Information") in the manner specified by the Provider.
Upon completion of the procedure in the preceding paragraph, the Service Use Agreement is formed between the User and the Provider, and the User may use the Service in accordance with these Terms.
The Provider may refuse registration or re-registration if the Applicant falls under any of the following, and shall have no obligation to disclose the reasons:
There is false, incorrect, or missing information in the Registration Information provided to the Provider.
The Applicant is a minor, adult ward, person under curatorship, or person under assistance and has not obtained the consent of a legal representative, guardian, curator, or assistant.
The Provider reasonably determines that the Applicant is an antisocial force (organized crime group, member of such group, right-wing organization, antisocial force, or equivalent) or has some involvement with such forces, such as maintaining or operating them through funding or other cooperation.
The Provider reasonably determines that the Applicant has violated a contract with the Provider in the past or is related to such violator.
The Applicant has been subjected to measures under Article 10.
Other cases in which the Provider reasonably determines registration is inappropriate.
Article 4 (Changes to Registration Information)
Users must notify the Provider of any changes to Registration Information without delay in the manner specified by the Provider.
Article 5 (Management of Passwords and User IDs)
Users shall manage and store their passwords and user IDs for the Service at their own responsibility, and shall not allow any third party to use them, or lend, transfer, change the name on, sell, or otherwise dispose of them.
Users are responsible for damages caused by insufficient management of passwords or user IDs, misuse, or use by third parties.
Article 6 (Paid Plans)
Premium Plan Users shall pay the fees displayed on the Provider's website or within the App by the method specified by the Provider as consideration for use of the Service.
If a Premium Plan User delays payment, the User shall pay late charges at an annual rate of 14.6%.
Premium Plan Users shall start using a Paid Plan after confirming the plan details, the period for which the plan applies (the "Paid Contract Period"), that the contract will renew under the same terms if the plan is not canceled by the end of the Paid Contract Period ("Auto-Renewal"), and the fees.
Upon starting a Paid Plan, Premium Plan Users are deemed to have given valid and irrevocable consent to the Paid Contract Period, Auto-Renewal, and fees.
If a free trial period is available for a Paid Plan (the "Trial Period"), Premium Plan Users are deemed to have agreed that the Trial Period applies only once.
Article 7 (Prohibited Acts)
Users shall not engage in any of the following acts, or any act the Provider reasonably deems to fall under any of the following.
Acts that violate laws or are related to criminal acts.
Fraud or threats against the Provider, other Users, or third parties.
Acts contrary to public order and morals.
Acts that infringe intellectual property rights, portrait rights, privacy rights, honor, or other rights or interests of the Provider, other Users, or third parties.
Providing the Provider or other Users with information through the Service that the Provider reasonably deems to fall under any of the following:
Excessively violent or cruel content.
Harmful computer programs such as viruses.
Content that damages the honor or credibility of the Provider, other Users, or third parties.
Excessively obscene content.
Content that promotes discrimination.
Content that encourages suicide or self-harm.
Content that encourages improper use of drugs.
Antisocial content.
Chain messages or content encouraging the spread of information to third parties.
Content that causes discomfort to others.
Acts that place an excessive load on the Service's network or systems.
Reverse engineering or other analysis of software or systems provided by the Provider.
Acts that may interfere with operation of the Service.
Unauthorized access to the Provider's networks or systems.
Impersonation of a third party.
Using the ID or password of another User.
Advertising, solicitation, or business activities on the Service without the Provider's prior permission.
Collecting information about other Users.
Acts that cause disadvantage, damage, or discomfort to the Provider, other Users, or third parties.
Providing benefits to antisocial forces.
Acts intended to meet an unknown person of the opposite sex.
Acts that directly or indirectly cause or facilitate any of the preceding acts.
Attempting any of the preceding acts.
Any other act the Provider reasonably deems inappropriate.
Article 8 (Suspension or Interruption of the Service)
The Provider may suspend or interrupt all or part of the Service without prior notice to Users in any of the following cases, and shall not be liable for damages incurred by Users or third parties as a result, except as expressly provided in these Terms.
When the Provider determines that usage has reached the Service's usage limit for AI-generated features such as text-to-speech or text corrections.
When urgent inspection or maintenance of computer systems related to the Service is required.
When operation of the Service becomes impossible due to failures, erroneous operations, excessive access, unauthorized access, hacking, or similar causes.
When operation of the Service becomes impossible due to force majeure such as earthquakes, lightning, fire, storms, floods, power outages, or natural disasters.
Any other case where the Provider reasonably determines suspension or interruption is necessary.
Article 9 (Ownership of Rights)
All intellectual property rights in the Provider's website and the Service belong to the Provider or to parties who have licensed them to the Provider. Permission to use the Service under these Terms does not imply permission to use the Provider's intellectual property rights.
Users represent and warrant that they have lawful rights to post or transmit Posted Data and that such Posted Data does not infringe third-party rights.
Users grant the Provider a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, translate, distribute, create derivative works of, display, and perform Posted Data. Users also grant other Users a non-exclusive license to use, reproduce, translate, distribute, create derivative works of, display, and perform Posted Data through the Service.
Users agree not to exercise moral rights against the Provider or parties who have inherited or been licensed such rights from the Provider.
Article 10 (Deregistration and Related Measures)
The Provider may, without prior notice, delete or hide Posted Data, suspend use of the Service, or deregister the User if the User falls under any of the following:
Violation of any provision of these Terms.
False information in Registration Information.
Insolvency or suspension of payment, or filing for bankruptcy, civil rehabilitation, corporate reorganization, special liquidation, or similar proceedings.
No use of the Service for more than six months.
No response to inquiries from the Provider for more than 30 days.
Any of the items in Article 3, paragraph 4.
Any other case where the Provider reasonably determines continued use or registration is inappropriate.
If any of the preceding items applies, the User shall automatically lose the benefit of time for all obligations owed to the Provider and must immediately pay all such obligations in full.
Article 11 (Term of Use and Cancellation)
The term of use for Premium Plan Users shall be the period specified by the Provider selected by the User.
Premium Plan Users may cancel the Service by completing the prescribed cancellation procedures. If cancellation is not completed by the end of the term, the term will be automatically renewed for the same period as set forth above.
Users agree that, upon completing the cancellation procedures or uninstalling the App, use of the Service ends and data recovery will not be possible.
The preceding paragraph also applies in cases of deregistration under Article 10.
Article 12 (Changes to the Service)
The Provider may change, suspend, or discontinue the Service at any time without prior notice for the Provider's convenience.
In such cases, the Provider shall not be liable to Users, except as expressly provided in these Terms.
Article 13 (Disclaimer and Limitation of Liability)
The Provider makes no warranty, express or implied, that the Service will fit a particular purpose, meet expectations for functionality, commercial value, accuracy, or usefulness, comply with laws or industry rules applicable to Users, not infringe third-party rights, be available continuously, or be free of defects.
Unless the Provider has willful misconduct or gross negligence, the Provider shall not be liable for damages in excess of the amount paid by the User to the Provider in the past 12 months.
Any transactions, communications, or disputes between Users and other Users or third parties arising in connection with the Service or the Provider's website shall be resolved by Users at their own responsibility.
Article 14 (Confidentiality)
Users shall keep confidential any non-public information disclosed by the Provider in connection with the Service that the Provider requests to be treated as confidential, unless prior written consent is obtained from the Provider.
Article 15 (Handling of User Information)
Handling of Users' information by the Provider is governed by the Provider's Privacy Policy, and Users agree to the Provider's handling of their information in accordance with the Privacy Policy.
The Provider may use and publish information provided by Users in a form that does not identify individuals as statistical information at the Provider's discretion, and Users shall not object to this.
Article 16 (AI-Generated Content)
The Provider bears no responsibility for the truth or accuracy of information generated by AI-based features such as text-to-speech and text correction in the Service.
Users shall determine the accuracy of such information at their own responsibility and use the Service accordingly.
Article 17 (Changes to the Terms)
The Provider may amend these Terms when the Provider deems necessary.
When amending these Terms, the Provider will announce the effective date and details by posting on the Provider's website or the App, or by other appropriate means, or will notify Users.
If user consent is required by law for changes, the Provider will obtain consent by the method prescribed by the Provider.
If a User renews the term of use under Article 11, the User will be deemed to have consented to the amendments described in the preceding paragraph.
Article 18 (Contact / Notice)
Inquiries and other communications from Users to the Provider regarding the Service, and notifications from the Provider to Users regarding changes to these Terms, shall be made by methods specified by the Provider. Telephone inquiries and in-person visits are not accepted.
Notifications sent by the Provider to the contact information included in Registration Information (including email addresses) shall be deemed received by Users.
Article 19 (Assignment of Status under the Service Use Agreement, etc.)
Users may not assign, transfer, create a security interest in, or otherwise dispose of their status or rights and obligations under these Terms without the Provider's prior written consent.
If the Provider transfers its business related to the Service to a third party, the Provider may transfer to the transferee the status under the Service Use Agreement, rights and obligations under these Terms, and Users' Registration Information and other customer information, and Users hereby consent to such transfer in advance. This transfer includes not only ordinary business transfers but also company splits or any other cases of business transfer.
Article 20 (Severability)
If any provision of these Terms is found invalid or unenforceable, the remaining provisions and the remaining portion of such provision shall remain in full force and effect.
Article 21 (Governing Law and Jurisdiction)
The Terms and the Service Use Agreement are governed by the laws of Japan.
The Tokyo District Court shall have exclusive jurisdiction as the court of first instance for any disputes arising out of or related to the Terms or the Service Use Agreement.
